Digiclever Terms and Conditions

Service Eligibility Microtech offers its services to individuals, businesses, and organizations who agree to comply with our professional standards, service policies, and terms of engagement. We reserve the right to decline service at our discretion. Project Engagement All service engagements require a formal agreement outlining project scope, timelines, pricing, and deliverables. Work will not commence until both parties have mutually agreed upon these terms. Payment Terms Clients are required to adhere to the agreed payment schedule. Delays in payment may result in service interruption, project delays, or additional fees. All payments are non-refundable unless explicitly stated in the agreement. Client Responsibilities Clients must provide accurate information, timely approvals, and access to necessary resources. Delays in client inputs may affect the project timeline and outcome. Code of Conduct We expect professional, respectful communication at all times. Abusive language, harassment, or unethical behavior from any party may result in the termination of our working relationship. Intellectual Property Rights All code, designs, and digital assets developed by Microtech remain our property until full payment is received. Upon payment, ownership will be transferred as per the agreement terms. Confidentiality Both parties agree to keep proprietary business information, client data, and project materials confidential unless written consent is provided. This obligation remains even after project completion. Data Security and Privacy We follow industry best practices to protect client data from unauthorized access or breaches. Sensitive data shared with us will be handled in compliance with relevant data protection laws. Third-Party Integrations Microtech may use third-party APIs, plugins, or platforms to deliver your service. We are not liable for outages, policy changes, or security flaws within those third-party tools. Service Availability While we strive to maintain consistent service uptime, certain services may be unavailable during scheduled maintenance or due to technical issues. We will provide advance notice where possible. Project Revisions and Scope Changes Requests for changes beyond the agreed project scope will be reviewed and may be subject to additional charges and revised delivery timelines. Warranties and Disclaimers Microtech guarantees that services will be provided in a professional and timely manner. However, we do not guarantee specific outcomes or ROI unless expressly stated in writing. Limitation of Liability Microtech is not liable for any direct, indirect, incidental, or consequential damages resulting from service use, project outcomes, or delays caused by factors beyond our control. Use of Portfolio Materials Unless explicitly stated otherwise, we reserve the right to include completed projects or components in our portfolio, marketing materials, or case studies, with appropriate client credit. Termination Policy Either party may terminate the engagement with written notice. Fees for work completed up to the date of termination will still apply and must be settled promptly. Support and Maintenance Post-delivery support or maintenance is only included if outlined in the agreement. Ongoing support may require a separate contract or monthly retainer. Legal Jurisdiction All contracts and disputes will be governed by the laws of the jurisdiction in which Microtech operates, unless otherwise agreed in writing. Amendments to Terms Microtech reserves the right to update these Terms and Conditions as necessary. Changes will be communicated via email or website notice, and continued engagement implies acceptance of the revised terms. Feedback and Dispute Resolution Clients are encouraged to provide constructive feedback. In the event of a dispute, both parties agree to attempt resolution through communication and, if needed, third-party mediation before taking legal action. Refund Policy Payments made are typically non-refundable. Exceptions may be considered in case of non-performance or service cancellation initiated by Microtech, subject to review.
